These Vendor Terms and Conditions (“Vendor Terms”) apply to any individual or entity (“Vendor,” “you,” or “your”) that sells products or services on SkooledUp (“we,” “our,” or “us”).
By registering as a vendor or listing products on SkooledUp, you agree to these Vendor Terms in addition to our main Terms and Conditions and Privacy Policy.
1. Vendor Eligibility & Registration
- Vendors must provide accurate and complete account, payment, and contact information.
- You are responsible for maintaining your vendor account and ensuring your information remains up to date.
- We reserve the right to approve, suspend, or remove vendor accounts at our discretion.
2. Vendor Products & Responsibilities
As a vendor, you are responsible for:
- The accuracy, quality, and legality of your products or services
- Product descriptions, pricing, delivery, and access
- Customer support related to your products
- Clearly stating your own refund and return policy (if different from SkooledUp’s default)
You may sell:
- Digital products
- Services
- Subscriptions
- Access to tools, content, or communities
Prohibited products include illegal, deceptive, or infringing content.
3. Platform Fee (5%)
- SkooledUp charges a 5% platform fee on all completed vendor sales.
- This fee is automatically deducted from each transaction.
- The platform fee covers hosting, payments infrastructure, AI tools, marketplace features, and support.
- Payment processor fees (e.g., Stripe, PayPal) may apply separately.
4. Payments & Payouts
- Vendor payouts are processed through approved third-party payment providers.
- Payout timing and minimum thresholds may vary based on the provider.
- You are responsible for any taxes, fees, or reporting obligations related to your earnings.
5. Refunds, Returns & Disputes
- Vendors may set their own refund and return policies.
- Vendor policies must be clearly disclosed on each product listing.
- If no vendor policy is stated, SkooledUp’s Refund & Return Policy may apply by default.
- Vendors are responsible for refunds issued for their products.
- In the event of disputes, SkooledUp may review transactions but is not required to mediate.
6. Content Ownership & Licensing
- You retain ownership of your products and content.
- By listing on SkooledUp, you grant us a limited license to display, promote, and distribute your products solely for platform operation and marketing.
- You confirm that your products do not infringe on any third-party rights.
7. AI Tools & Automation
- Vendors may use SkooledUp’s AI tools to create, promote, or enhance products.
- You are responsible for reviewing AI-generated content before publishing or selling.
- SkooledUp makes no guarantees regarding AI-generated outcomes, sales, or performance.
8. Prohibited Conduct
Vendors may not:
- Sell misleading or fraudulent products
- Abuse refunds or chargebacks
- Circumvent platform fees
- Manipulate pricing, reviews, or engagement
- Use the platform for spam or deceptive marketing
Violations may result in suspension, removal of products, or termination of vendor privileges.
9. Suspension & Termination
SkooledUp may suspend or terminate vendor accounts:
- For violations of these Vendor Terms
- For repeated customer complaints or refund abuse
- For illegal or unethical activity
- For non-compliance with platform policies
Termination does not remove responsibility for outstanding obligations.
10. Limitation of Liability
SkooledUp is a platform provider and is not responsible for:
- Vendor product performance or results
- Customer disputes beyond platform scope
- Lost revenue or business opportunities
Our liability is limited as outlined in the main Terms and Conditions.
11. Modifications
We may update these Vendor Terms at any time.
Continued use of the vendor features constitutes acceptance of updated terms.
